Annual General Meetings of Shrewsbury Drapers Companyand Shrewsbury Drapers Holy Cross Ltd
The Annual General Meetings of Shrewsbury Drapers and Shrewsbury Drapers Holy Cross Ltd., will be held in the Drapers’ Hall on Monday 14th May 2018 at 6.15 pm and 7.00 pm respectively. The agendas follow on the next pages after this invitation letter.
All fully paid up Drapers are Members of SDHC Ltd. and therefore eligible to attend both AGMs and vote for the appointment of SDHC Ltd. Directors.
The Master, Mary Rose Bone, hopes that as many Drapers as possible will attend, not only to hear the reports on the past year’s activities but also to join her for a light supper of braised shin of beef, - RHUG estate beef pithivier with mashed potato, braised red cabbage and a honey ale gravy, - followed by tea/coffee and petit four (at £20.00 including wine) after the meetings.
As the Annual General Meetings are business meetings, attendance at them and the supper afterwards is restricted to Drapers only.A reply sheet is provided, and you are requested to complete and return it by Wednesday 2nd May 2018.

3.Summary of the Annual Meeting held on 9 May 2016
The Summary had been circulated prior to the meeting. Andrew Cross proposed that the Minutes be approved, seconded by Richard Auger, and signed.
Matters arising: None other than in the agenda items and circulated reports.
Opportunity had been given for the reports in items 4, 5, and 6 to be read before the meeting.
4. Report on the year 2016 - 17 (The Immediate Past Master, Gordon Crofts):
Circulated prior to the meeting.
The last twelve months have been dominated by Drapers Place, its completion, the official handover of the property, and the steady take up of apartments, all twenty five of which are now occupied.
A few teething troubles had been dealt with promptly by Morris Property. The Property Manager, Natasha Sheehan had helped in the start-up period. There have been many compliments about the design and facilities of the building.
He thanked David and Christine Holmes who, in recognition of Christine’s year of office as High Sherriff of Shropshire, had donated wood cut pictures for the Bradbury Room, and Patrick and Ruth Anderson who had donated over fifty photographs of Shropshire to hang in the day rooms and corridors of the building.
Each month Drapers Place hosts a coffee morning for all our residents and those living in the adjacent building Glebe House, all of which had been well attended. Fairford Place continues to host a weekly coffee morning at which all Drapers are welcome.
The Bradbury Room has been used by a number of outside organisations and it is hoped to encourage more bookings to provide additional revenue.
There have been a number of fundraising events throughout the last twelve months, all well supported by the Drapers and recorded in the Charities Committee Report.
The website continues to provide an excellent vehicle for the Company to advertise itself, record its many activities throughout the year and promote the two annual textile competitions.
The activities of the Company and the building of Drapers Place have raised the profile of the Company both locally and amongst other Guilds and in one particular case, has inspired a visiting Guild to develop its own charitable works.
The Immed. Past Master thanked all Freemen for their work, help and support to him, during his enjoyable and memorable year in office, and to the Company, and sent his successor, Ashley Fraser every good wish.
5. Report from the Charities Committee (Mary Rose Bone).
Circulated prior to the meeting.
It has been a highly successful period of fundraising for Drapers Place, there has been growth in the Textile Design Competitions and many opportunities for Drapers and their friends and families to socialise with one another and our residents.
2016
Ladies Lunch April 21 - at Shrewsbury Town Football Club, raised £1,100
Young Textile Design Competition June 7 - 7 schools (4 state, 3 independent) provided over 50 entries. Visitors included Mayors/Deputies from Shrewsbury, Wem, Oswestry and Bridgnorth, and the President of the Shropshire Society in London which has provided funding for the event and the one held in 2015. Since the competition a one off grant of £1500 has been secured from the London Drapers and the Shrewsbury branch of NADFAS have agreed to meet the cost of the prizes for the 2017 competition.
Tea Party at Fairford Place June 12 - despite the damp weather some 50 attended - residents and their families and Drapers.
Cound Hall Party June 18 – almost 100 people enjoyed live music, food and drinks in the marquee set up for the Classic Car Show and danced the night away
Cound Hall Classic Car show June 19 - around 80 classic cars and vehicles were exhibited together with a helicopter from RAF Shawbury. Food, drink and ice cream were for sale, it was a lovely family day.
The Cound Hall events were hosted by Nancy and David Sykes Waller. £2,500 was raised over the 2 days.
Jazz in July at the Old Hall Cressage July 16 - Hosted by Louise and Robin Mitchell, 80 people had the opportunity to explore the beautiful garden and sit down to curry and jazz with puddings provided by Drapers. £800 was raised.
Visit to Golding Hall , Acton Burnell August 20 - hosted by Richard and Sue Hartley, 40 people, limited to Drapers and partners, had the opportunity to tour a fascinating house and sunken gardens under the expert guidance of Richard and Sue Hartley. A 4 course dinner then followed much enjoyed by all. Tickets sales and a raffle raised almost £1200.
Textile Design Competition September 20 on the theme "Carnival" - 49 entrants of which 2/3 were students from both state and independent schools and colleges. In addition to the Gold Silver and Bronze Awards the new student award, the Jackie Ryan Memorial Award, provided by Tweedmill Textiles and Gaynor Bowen was awarded to a first year textile design student at Birmingham City University. 1154 people visited the exhibition which ran until 30 September. Whilst the cost of the competition is underwritten by Shrewsbury Drapers Holy Cross Limited sponsorship is sought to meet the net cost of some £1800. Draper Gareth Jenkins has made a generous donation from his concert at Shrewsbury School and the Shrewsbury branch of NADFAS have agreed to meet the costs of the student prizes for the 2017 competition.
Scholars' Concert at Shrewsbury School October 2 - some lovely music from some very talented musicians playing a wide range of instruments, over £500 was raised.
Annual Golf competition at Shrewsbury Golf Club October 16 - 20 entrants for this event organised by Maggie Williams enjoyed a good day. £210 was raised.
Ladies lunch at Concord College October 27 – Concord College looked after the ladies very well. Having hoped to raise around £1000 over £1700 was actually raised on the day, a fantastic outcome.
Carols at Cound Hall. December 20 - This was not intended as a fundraiser but an opportunity for Drapers and their families to get together before Christmas in the beautiful surroundings of a Christmas decorated Cound Hall to sing carols, be entertained by 4 singers from Thomas Adams School Wem, and enjoy mulled wine and homemade mince pies. Some 50 came and had a lovely evening. Thanks are due again to Nancy and David Sykes Waller for their generous hospitality. Donations to offset the costs were made and due to the generosity of donors and Gift Aid almost £700 was raised.
2017
Literary lunch at the University Centre January 21 - a collaboration with the University Centre, Shrewsbury, held at the Guildhall. Prof. Deborah Wynne of the University spoke on "The Fabric of Society - the importance of cloth in British history and literature" written with the Drapers in mind. Thanks to the Provost, Prof. Anna Sutton. £1000 was raised.
High Sheriff of Shropshire Legal Service and Rededication March 5 - Draper Christine Holmes donated half the retiring collection to the Drapers almshouses amounting to £580.
Ladies Lunch at Ellesmere College April 18 – held in the splendid surroundings of the great hall (known as Big School) at the College, raised just over £1700. These regular lunches form an important part of the fundraising programme and the Committee is very grateful for the continued support of these ladies.

Ideas for other events, whether fundraising or just a chance to get together, are always welcome.
Gift Aid - if Drapers are unable to attend an event but would still like to support it, a donation is most welcome especially if it can be Gift Aided. For example at the Carols at Cound event, donations enabled some £200 to be recovered as Gift Aid.
Thanks to all Committee members, and their families, and other Drapers and their families for organising, attending and supporting all the events. In the 2016 financial year the £10,000 target fundraising was achieved, a combination of funds raised directly and Gift Aid.
6. Financial and GMC Reports (Andrew Haslewood and Richard Auger).
Annual accounts (income and expenditure) distributed prior to the meeting. Unaudited Statement of Accounts to year ended 31.12.16. attached.
The overview of the 2016 accounts showed that a modest surplus had been achieved.
The budgets for 2017 had been approved. It was proposed that the Quaterage for 2017 would remain at £105.
It was recommended that Wittingham Riddell continue to inspect the annual accounts for
the Guild.
7. Update from the Chairman of the Shrewsbury Drapers’ Hall Preservation Trust (Nigel Sturt).
Nigel Sturt reported that The Preservation Trust had been set up in 1998, and the following year the Trust bought back Drapers Hall from the London Drapers who had overseen an extensive restoration programme and conversion into a restaurant. By 2015 all loans had been repaid and debts paid off.
Maintenance of the building continues to absorb much of the income, however, it is possible that there may be some small reserves at the end of the year.
Drapers Hall now operates as both a restaurant and a boutique hotel with 6 rooms. The Lease had not yet been signed, but a rent review was due this year, and the new rent would be set at a higher level to take into account the income from hotel rooms. The AGM will be held on 18 May 2018.
David Tudor proposed a motion, seconded by John Patrick, to adopt the committee reports adopt the accounts for the Guild, and to appoint Whittingham Riddell to inspect the accounts for the year 1 January 2017 to 31 December 2017 was approved unanimously without a vote.
8. The Year Ahead (Ashley Fraser).
The Master reminded the meeting that the revised role of the Guild, discussed at the previous AGM, had been encapsulated in a revised Constitution which had been circulated. All paid up freemen of Shrewsbury Drapers were automatically members of Shrewsbury Drapers Holy Cross Ltd.
Concern was expressed by some that the Drapers were only focussed on the almshouses to the detriment of other charitable causes. However, Clause 8 c. of the Constitution does enable fund raising for approved organisations or other registered charities, if the membership so wishes.
David Tudor proposed that the new Constitution be adopted, seconded by John Patrick. The motion was passed unanimously.
The Master’s report on the year ahead had been circulated, the highlight of which would be the Official Opening of Drapers place on 14 June. While SDHC Ltd and SDC were 2 separate entities they had one objective namely the running of the almshouses and the welfare of the residents. Drapers Place had consumed a huge amount of time, but was now complete and occupied. He thanked the Draper members for their generosity, support, and hard work. But he warned we must not become complacent, our 3 other almshouses must not forgotten.
9. Any Other Business.
The next Guild event will be Trinity Sunday on 11 June. The Master’s from London Drapers and The Haberdashers had been invited, as well as the Master of the Welsh Livery Company. They will be at Ironbridge that Sunday as part of the London Livery Company weekend.
The monthly fellowship lunches will cease for the time being.
There is a feeling that we should raise SDC profile in the community and “bang our drum” for all we do.

Provisional date: Monday 14th May 2018 in Drapers Hall.

CHARITIES COMMITTE REPORT FOR AGM
Monday 14 May 2018
It has been another highly successful year for fundraising, the Textile Design Competitions, and social events. Many thanks are due to all Committee members and their families for all their hard work in ensuring the success of these events and to all those Drapers and their families who supported them. The target for the financial year 1 January 2017 to 31 December 2018 was £10,000 and over £11,000 was raised. This included the very generous £4000 donation by Sir Algernon and the Hon Lady Jane Heber-Percy to the Master's Dinner
As in last year's report the summary below pulls together previous reports, reports on the most recent event and flags future events. It is for the period May 2017 to May 2018
2017
Young Textile Design Competition Awards Evening Tuesday June 13 - awards presentation and reception held at St Mary's Church, Shrewsbury.. 60 entries from 8 schools, independent and state. Prize monies provided by The Arts Society Shrewsbury. The exhibition followed from 14 - 17 June. SHDC Limited underwrote this event.
Antarctica Exhibition at Shrewsbury Museum and Art Gallery Thursday June 29 - private evening view of the exhibition with talks by Jonathan Walton and an opportunity to view the rest of the Museum. £555 was raised.
Pub Tour Thursday August 17 - Nigel and Bridge Hinton conducted the second half of their tour of Shrewsbury's pubs. Discoveries included a medieval wall painting in the King's Head in Mardol. £90 was raised.
Master's Dinner at Hodnet Hall Friday September 8 - by kind permission of Sir Algernon and the Hon Lady Jane Heber-Percy. 67 attended this event with the approximately £4,700 raised going towards the costs of the fire doors and fire alarm system at Fairford Place. The large sum raised was enabled by a £4000 donation by the Leverhulme Trust together with donations made by Drapers.
Visit to RAF Shawbury Tuesday September 26 - 23 Drapers with family and friends had an educational visit to the helicopter training establishment and an opportunity to strengthen the ties between the Drapers and the base. This was not a fundraising event.
Textile Design Competition Tuesday 19 September - awards presentation and reception held at St Mary's Church, Shrewsbury. 11 adult and 20 student entries. Student prize monies provided by The Arts Society Shrewsbury. Tweedmill Textiles again awarded the Jackie Ryan Memorial Prize. The exhibition followed from 20 - 29 September. SHDC Limited underwrote this event.
Shrewsbury School Concert Sunday October 8 - some 150 Drapers, their family and friends, performers' families and music fans filled St Alkmund's Church for what is becoming an annual fundraising concert by Shrewsbury School for us. Over £1000 was raised.
Ladies Lunch Monday 30 October - held at Shrewsbury High School with Prof. Lalage Bown speaking about her African travel adventures. Over £1200 was raised
Annual Golf Day Sunday October 15 at Shrewsbury Golf Club. 16 golfers played the course with Peter Roadnight and Elaine Adams the winning pair. Golfers were joined by family and friends for supper and £173.75 was raised. Thanks are due to Maggie Williams for organising the event.
2018
The fundraising target for 2018 is £5,000. The £10,000 previous target was linked to a financial obligation relating to Drapers Place which no longer exists.
Literary Lunch at the University Centre Saturday January 20 - Dr. Tim Jenkins, Associate Professor Design, Heritage and the Built Environment, University Centre, Shrewsbury, and Cultural and Heritage Services Manager, Shropshire Council, gave an illustrated talk on the uncovering and restoration of the town's historic buildings including those with links to the Drapers - "Shrewsbury Rediscovered". 74 Drapers and friends attended the talk, followed by a lunch of hotpot, cheese and fruit. Over £800 was raised.
Cornucopia Concert at St Chad's Church Shrewsbury Friday 2 March - an evening of music from a wide range of Shropshire was planned but defeated by the snow. It is hoped to resurrect it, if not 2018 then in 2019.
Ladies Lunch Thursday 12 April 2 - held at Shrewsbury School with Giles Bell, a master at the school speaking about his 29 year career at Shrewsbury School. Over £1000 was raised
Future Events
Visit to Pitchford Hall Saturday 2 June 2018 (pm) and Saturday 30 June 2018 (am) - not a fundraising event but an opportunity to see the Pitchford Hall and restoration work being undertaken with light refreshments served afterwards
Young Textile Design Competition Tuesday 12 June 2018 Awards Reception with the Exhibition running until the afternoon of Saturday 16 June. This competition is becoming increasingly popular and this year will have 3 classes - Year 7, Years 8 and 9, and Years 10 and 11, to better reflect the developing skills of secondary school students.
Concert at Shrewsbury Abbey Saturday 1 September 2018 - the Midland Festival Orchestra with the Abbey Choir - an evening with a French flavour. Funds raised will be divided between us and the Abbey organ fund.
Textile Design Competition Tuesday 2 October 2018 Awards Reception. Exhibition running until Saturday 6 October, therefore be a week shorter than in previous years. The competition is running a week later than in previous years to encourage a greater student entry. The theme is "Oriental Journey"

Retirements and Appointments of Directors
During his year of office as the Master of the Shrewsbury Drapers Company, the Master is elected to the Board of the Shrewsbury Drapers Holy Cross Ltd and resigns a year later. It was agreed that this changeover takes place at the next AGM after the Charter Night when the Master is elected.
Retirement.
24 At the first annual general meeting and at each subsequent annual general meeting one third of the Directors must retire from office unless by the close of the meeting the Members have failed to elect sufficient Directors to hold a quorate meeting of the Directors.
25 (1) The Directors to retire by rotation shall be those who have been longest in office since their last appointment. If any Directors became or were appointed Directors on the same day those to retire shall (unless they otherwise agree among themselves) be determined by lot.
(2) if a Director is required to retire at an annual general meeting by a provision of these articles the retirement shall take effect upon the conclusion of the meeting.
The Appointment of Directors.
26 The Charity may by ordinary resolution:
appoint a person who is willing to act to be a Director; and
determine the rotation in which any additional Directors are to retire.
27 No person other than a Director retiring by rotation may be appointed a Director at any general meeting unless:
(1) he or she is recommended for re-election by the Directors; or
(2) not less than fourteen nor more than thirty-five clear days before the date of the meeting, the Charity is given a notice that:
(a) is signed by a member entitled to vote at the meeting;
(b) states the member's intention to propose the appointment of a person as a Director
(c) contains the details that, if the person were to be appointed, the Charity would have to file at Companies House (Name, nationality, occupation, correspondence address - often registered office of company, home address, country of residence); and
(d) is signed by the person who is to be proposed to show his or her willingness to be appointed.

Master’s Report on the Year 2017-18
At this time last year I indicated that we needed to take a year to draw breath, to bask in the reflected glory of successfully building Drapers Place, to look at improving our other almshouses and most importantly to take stock. I was also clear that the distinction between Shrewsbury Drapers Company, our guild, and Shrewsbury Drapers Holy Cross Ltd, the corporate trustee for the Shrewsbury Drapers Company Charity, although necessary had to be clarified as both organisations have the same membership, the same ideals and the same object – the provision and running of almshouses.
The Guild can be seen as the parent body providing a social environment for members to interact. It is also responsible for charitable fund raising and for ensuring the public understand what we do through such events as the Textile competitions. Furthermore the Guild provides the people with the experience and skills to populate the Board and committees of Shrewsbury Drapers Holy Cross Ltd whose main task is to look after our almshouses.
I believe we have had a successful year. On June 14th HRH the Duke of Gloucester opened Drapers Place. A memorable day, not only for the heat, but for the number of you who came to join in the tea party. The Master’s dinner at Hodnet Hall was also extremely enjoyable and thanks to Sir Algy Heber-Percy and Lady Jane raised over £4000. The two Textile competitions were stunning with entries from many different sources. I only wish my needlework extended beyond blanket stitch. Our feasts and lunches have been well attended with more guests than in the past.
I have enjoyed visiting other guilds around the country, maintaining the links between our guilds. I am particularly pleased that the Haberdashers’ Guild and ourselves have struck up a good working relationship which benefits both of us.
I must thank the wardens and clerk for their unstinting efforts during the past year and to all Freemen for their work, help and support. It is your Guild and it is you who make it successful. I hope Mary Rose Bone has a satisfying year as Master and I wish her all the best in her role.

Chairman’s Report to AGM 14th May 2018
This has been a year of bedding down Drapers Place as well as upgrading our other almshouses. The large increase in the number of units as well as our becoming a Registered Social Landlord has resulted in a significant increase in workload, most being performed by Draper volunteers.
Formal Opening of Drapers Place:
Drapers Place was formally opened by HRH Duke of Gloucester on 14th June 2017. It was an exceptionally hot day. The significance of the project attracted considerable publicity and ensured a large turnout of dignitaries and many who had laboured hard on the project. The Almshouses Association took the opportunity to make their Patrons Award presentations.
Occupancy:
Once again almost full occupancy of all our Almshouses has been achieved. In particular, Drapers Place reached occupancy levels ahead of budgeted expectations.
Residents welfare:
We continue to monitor our residents’ welfare and the quality of our accommodation.
There are weekly coffee mornings at Fairford Place, and monthly ones at Drapers Place. Three-monthly residents meetings are also held.
Estate matters:
Drapers Place was formally handed over on 23rd November 2017. Many of the gutters fell off during the heavy snow but have now been reattached.
Close to £60,000 was spent in 2017 on major repairs and renewals as well as routine maintenance. This was well above budgeted levels. The rolling programme of bathroom and kitchens at Fairford Place continues. Front doors were being slowly replaced with ones of higher fire-resistance. As a result of the tragedy in London the Board decided to complete the renewal as quickly as possible.Structural repairs had to be made at Holy Cross and at St Giles rewiring and other improvements are underway. A stairlift was installed at Drapers Place between the undercroft buggy store and the ground floor to aid access following requests from the residents.
Margaret Simmonds has taken over supervision of gardens at all sites.
Management and Governance:
Our Warden, Frances O’Keefe, and Manager at Drapers Place, Natasha Griffithe, continue to provide excellent service.
During the year a comprehensive review of the Company’s policies was begun. Existing policies have been updated and new policies developed. All this is required to meet regulatory requirements and good practice.
Haberdashers’ Company:
The Haberdashers’ Company through their Adams Eleemosynary Trust ran 4 almshouses at Adams Grammar School. They wish to concentrate on their educational charitable activities and so had to find a method of passing on these almshouses. As the properties become vacant the school has the option to purchase them. SDHC has joined the current Board to look after the properties and residents – only one resident remaining. The AET will amalgamate into Shrewsbury Drapers Company Charity which will hold all the endowed and otherwise monetary assets for providing almshouse accommodation.

Report on SDHC Ltd furniture and effects year ending 31 December 2017
The furniture and pictures are in good condition following a detailed review and refurbishment programme in 2017. Continued regular examination is in place and minor work particularly on the oak furniture will be carried out as required.
Written instructions regarding the ongoing care of our valuable assets are with the new tenant and initial contact with the tenant and his staff has been encouraging. Photographs along with descriptions and a short history of our collection have been passed over to allow the restaurant to use them in their marketing initiatives.
The collection of 8 sepia prints, largely scenes of Shrewsbury, previously hanging in the Hall have been removed to Drapers Place for safe storage but they are available should a more welcoming home be promoted.
